The Effective Date of this Contract/Agreement is the date it is SIGNED and SUBMITTED. Outsourcer named above will provide Ever After, LLC (also known as Studio) with completed job assignments specific to his/her position. Job ResponsibilitiesThe Position offered includes these job responsibilities: Your job shall include completing assignments given to you within the stipulated time. (Lead Times/Due Dates) You will review your completed task in order to ensure the accuracy of the assignment. You will keep proper records of all tasks assigned to you and those that you have submitted. If your position is compensated by the hour, you will maintain records of man-hours put into the job and the payment received. You will be in contact with your manager to clarify any questions. Outsourcer agrees to perform the services of this Position until the engagement has ended. Terms and ConditionsThe following terms and conditions apply: Studio will pay Outsourcer in the amount specified above under Compensation Offered. If Outsourcer is being compensated on a per Job/Photoshoot or per Photo or Per Product basis, Outsourcer will submit a bill to Studio for each assignment completed at the time the assignment is completed by Oursourcer. If Outsourcer is being compensated on a per hour basis, Outsourcer will submit worked hours to Studio by the 14th and by the last day of the month. Payment will be made on the 1st and 15th of each month, for work delivered and accepted in the applicable payment period. Payment Period Outsourcer bills (or hours worked, if applicable) submitted from the 1st of the month through the 14th of the month will be paid on the 1st of the following month. Outsourcer bills (or hours worked, if applicable) submitted from the 15th of the month through the end of the month will be paid on the 15th of the following month. Deliverables Outsourcer will provide the following as per deliverable dates and assignments mutually agreed upon: Job Assignments pertaining to this position. Changes and Revisions Any changes or revisions to this agreement must be mutually agreed upon. Copyright Studio will own the copyright for all material created under this agreement, and Outsourcer can showcase sample works from this project as portfolio pieces only with consent and approval from Studio. Non-Disclosure/ConfidentialityFor purposes of this Agreement, confidential information shall include all information or material that has or could have commercial value or other utility in the business in which Studio is engaged. Confidentiality and data protection: This is to ensure that private information about clients, employees, partners, products and processes and our company is well-protected. Examples of confidential information are, but are not limited to: Employee records Unpublished financial information Data of customers/partners/vendors Customer lists, contact information and billing information (existing and prospective) Unpublished goals, forecasts and initiatives marked as confidential Our marketing efforts and executions Workflow and processes used to complete work Outsourcer agrees to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information between the parties. Outsourcer agrees to keep confidential and not disclose any confidential information or other vital information items (collectively, "information") which are valuable, special and unique assets of Ever After, LLC. Outsourcer agrees that Outsourcer will not at any time or in any manner, either directly or indirectly, divulge, disclose, or communicate any Information to any third party without the prior written consent of Ever After, LLC. Outsourcer will protect the Information and treat it as strictly confidential. The non-disclosure provisions of this Agreement shall survive the termination of this Agreement and Outsourcer’s duty to hold confidential information in confidence shall remain in effect until the confidential information no longer qualifies as a trade secret or until Studio sends Outsourcer written notice releasing Outsourcer from this non-disclosure clause of the Agreement, whichever occurs first. A violation by Outsourcer of this Non-Disclosure/Confidentiality section shall be a material violation of this Agreement and will justify legal and/or equitable relief. By signing this Agreement, you (Outsourcer) acknowledge that our working arrangement will be on an at-will basis. Neither yourself nor the Studio has entered into a length-of-employment contract. This means you are free to leave the Studio at any time, and the Studio has the right to terminate you at any time.
